Terms of Service & Conditions

By engaging with Sora Digital ("Company," "we," "our," or "us"), you agree to the following Terms of Service and Conditions. These terms protect our business and ensure smooth collaboration.

Scope of Services

• We provide digital marketing, web development, design, software, and white‑label services.
• We are not responsible for your end‑client relationship in white‑label work.
• We reserve the right to refuse or discontinue service for unethical or illegal activities.

Payment Terms

• 50%–100% upfront payment required before work begins.
• White‑label payments are due regardless of your client's payment status.
• Invoices overdue by more than 7 days incur a 5% late fee per week.
• No refunds – all payments are final unless required by law.
• No chargebacks allowed via bank or credit card.
• Ownership of work transfers only upon full payment.

Client Responsibilities

• Provide all required access, approvals, and content promptly.
• Ensure all materials provided are lawful and free from third‑party infringements.
• Maintain communication with your own clients in white‑label arrangements.
• No hiring or solicitation of Sora Digital's team for 24 months after project completion.

White‑Label Partnership Conditions

• Do not disclose Sora Digital's identity to your clients without written consent.
• No bypassing us to work directly with our subcontractors or contacts for 24 months.
• Rejected work may be reused or resold by Sora Digital.
• We may show anonymized versions of work in our portfolio.

Confidentiality & NDA

• This agreement acts as a binding Non‑Disclosure Agreement (NDA).
• All proprietary and sensitive information must remain confidential.
• Confidentiality obligations survive indefinitely after termination.

Project Timelines

• All timelines are estimates and may change due to unforeseen delays.
• Delays caused by the client extend delivery timelines without penalty to us.
• Urgent requests may incur additional charges.

Intellectual Property

• Upon full payment, you receive a non‑exclusive license to use deliverables.
• We retain ownership of underlying frameworks, code, and proprietary tools.
• In white‑label projects, rights transfer only after full payment.

Limitation of Liability

• We are not liable for indirect, incidental, or consequential damages.
• Our total liability is limited to the amount you paid for the service.

Termination

• Either party may terminate with written notice for material breach.
• All outstanding invoices become immediately due upon termination.
• No refunds for work already delivered or in progress.

Dispute Resolution

• Disputes will first be resolved through good‑faith negotiation.
• If unresolved, disputes will follow the laws of Bangladesh and the courts of Dhaka.

Amendments

• We may update these terms at any time with immediate effect.
• Continued engagement with Sora Digital indicates acceptance of updates.
